Business Protection Fund (Fondo Salvaguardia Imprese)

WHAT IT IS

The Business Protection Fund acquires minority shareholdings in the risk capital of companies experiencing economic and financial difficulties that propose a restructuring plan to guarantee the continuity of the company and safeguard employment. 

It was instituted with art. 43 of Italian Decree Law no. 34 of 19 May 2020, with a budget of € 300 million. The management of the Fund is entrusted to Invitalia. 

WHAT IT FINANCES

It intervenes to support, at the same time with independent private investors and/or historical shareholders, the restructuring plan presented by the company experiencing difficulty  

Companies experiencing economic and financial difficulties can present an application as long as they meet at least one of the following conditions: 

  • they are historic brands of national interest with more than 20 employees
  • they are capital companies with more than 250 employees 
  • they possess assets and relations of strategic importance for the national interest (regardless of the number of employees) 

HOW IT WORKS

Invitalia, with the resources of the Fund, makes direct risk capital investments at the following conditions: 

  • the equity investments acquired have to be minority ones
  • the overall intervention per individual transaction does not exceed € 30 million
  • the investment transaction is carried out together and at the same time with:
  • independent private investors who bring at least 30% of the planned resources or pre-existing shareholders who bring at least 50% of the capital increase;
  • the proposing company that guarantees its own contribution equal to at least 25% for small companies, 40% for medium-sized companies and 50% for large companies.
  • exit at 5 years, with exit conditions already defined in the investment transaction 

Invitalia, in addition or as an alternative to the acquisition of the investment, can make investments in quasi-equity.
